We encourage you to read and understand them so that you are fully aware, not only of your own obligations, but also for your rights as The Dealer. We believe that VAL Technologies Pvt. Ltd., ExamDaddy.com  products and marketing plan are the best in the industry.

VAL Technologies Pvt. Ltd., ExamDaddy.com  is committed to maintaining integrity of the business, its sales and marketing plan, and its distribution network of independent dealers. VAL Technologies Pvt. Ltd., ExamDaddy.com reserves the right in its absolute discretion to waive wholly or partially or to pardon or forgive wholly or partially any breach of any of the rules contained within this agreement.

Marketing:

Dealership is not intended to be a hobby. New dealers are expected to have a specific basic business plan and the skills to carry it out successfully.
The dealer do agree to market the product line as a first rate products in his marketing organization. Supply the local sub dealer with required standard marketing material. The minimum quantity required to maintain a prioritized dealer is an annual sales volume of at least INR 5,00,000.

Price and conditions:

The Company will attempt to ship all items ordered in a single however, the company reserves the right to make partial shipments, which will be invoiced separately by the company.

• The Dealer shall pay Two Lakh rupees as a registration amount. In this 50,000 Rs/- will be kept as a caution deposit which is returnable at the time of Termination and 1, 50,000 Rs/- worth of  products stock (As on Dealers Choice) along with few promotional material as well as general office Stationery will be provided. Also The Dealer will be given Exchange of Goods / Stock facility with the Range of products available with VAL Technologies Pvt. Ltd., ExamDaddy.com.

• Dealer shall pay all invoices from VAL TECHNOLOGIES PVT. LTD., on a timely basis without regard to any items ordered that have not yet been shipped.

• Delivery delays of any portion of an order shall relieve dealer of its obligations to timely pay invoices and accept subsequent deliveries.

• The Dealer will follow the official price list while selling our products to the customers with a small resilience of about less than 15% on MRP entitled in the official Price List.

System / Product / Project Services:

Dealer will maintain skilled staff  to help  determine the best solutions for our customers. Some of our services include:

• Field visits to potential customer sites for data collection and solution framing. The entire field visit Expenses will have to be born by The Dealer. The delineated Expenses include travel and Accommodation only and it is charged as per the actual. However VAL TECHNOLOGIES PVT. LTD., EXAMDADDY.COM  will compensate for the Living Expenses at Site for our Executive.

• Presentation preparation for the required/ suggested solution will be prepared in accordance with the Project Site and the same will be issued to the Dealer.

• Prototyping work to demonstrate POC (Proof of Concept) for the customized solutions will be provided to The Dealer with the mutual consent of both the parties.
Duration And Termination:

• This agreement shall commence on the date when VAL Technologies Pvt. Ltd., ExamDaddy.com  signs this agreement and shall endure for a period of ONE YEAR or until terminated by either party, for any reason, subject to these terms and conditions. Failing which, The Dealer agreement will be renewable for a further period of ONE YEAR.

• If either party wishes to terminate this agreement, it shall do so by servicing upon the other party a written notice of termination, which shall be effective 30 (thirty) calendar days from receipt of said notice. If The Dealer terminates the agreement, The Dealer shall receive any commission due as calculated by VAL Technologies Pvt. Ltd., ExamDaddy.com , for a period of 6 (six) calendar months following the termination date, where after The Dealer shall have no further entitlement to any commission from VAL Technologies Pvt. Ltd., ExamDaddy.com .

• If VAL Technologies Pvt. Ltd., ExamDaddy.com  terminates the agreement, The Dealer shall receive any commission due on existing contracts subject to The Dealer’s compliance with the terms and conditions hereof and in particular with The Dealer’s compliance with clause 10 hereof, being the restraint of trade undertakings, only for a period of 6 (six) calendar months following the termination date, where after The Dealer shall have no further entitlement to any commission from VAL Technologies Pvt. Ltd., ExamDaddy.com . During this 6 (six) month period, The Dealer shall not be entitled to any commission on new or renewed contracts entered into by any subscribers, via another representative.

• If The Dealer is a person and changes name due to any other reason, this agreement shall continue to exist with such person provided that the identity number of The Dealer, whose name has changed, remains the same. In these circumstances, The Dealer shall provide VAL Technologies Pvt. Ltd., ExamDaddy.com  with a copy of an Identity Document reflecting the new name, along with the same identity number recorded in this agreement.

• VAL Technologies Pvt. Ltd., ExamDaddy.com  rules and regulations in no way supersede the dictates of any court of law as to the disposition of the dealership and/or the rights, benefits or obligations of either party to the dealership.

• Dealer shall be responsible for any taxes payable.

• Dealer shall pay for all products purchased from the company in accordance.

• Exclusive dealerships cannot be offered. Where as Exclusivity can be offered for a defined Geographical area which shall be clearly mapped in the Dealer registration form.

• The dealer shall maintain and service the products, to establish a long time business relation it is necessary with full confidence.

Dealer application procedure & Website Integration:

• Dealers who wish to have a strong web presence can link into our product database for product information.


In order to become a VAL Technologies Pvt. Ltd., ExamDaddy.com  dealer an applicant must be sponsored by an active authorized VAL Technologies Pvt. Ltd., ExamDaddy.com  dealer. • VAL Technologies Pvt. Ltd., ExamDaddy.com  appoints The Dealer as a non-exclusive, independent representative to solicit and refer prospects for products and/or services, subject to the terms and conditions set out herein.

• The only cost required of an applicant to become a dealer is the purchase of an official VAL Technologies Pvt. Ltd., ExamDaddy.com  dealer business pack.

• It is specifically recorded that The Dealer is not an employee of VAL Technologies Pvt. Ltd., ExamDaddy.com  and acts as VAL Technologies Pvt. Ltd., ExamDaddy.com  independent reseller only on the terms as set out in this agreement. The Dealer shall not represent to any third party (including a customer) that it represents VAL Technologies Pvt. Ltd., ExamDaddy.com  in any capacity other than as set forth in this agreement.

• The Dealer with shall not cede, transfer, assign or grant to any third party any right, privilege, duty or obligation of The Dealer, in terms of this agreement without written consent from VAL Technologies Pvt. Ltd.,

• VAL Technologies Pvt. Ltd., ExamDaddy.com  has the sole and absolute discretion and right to accept or reject any order, and/or to enter into and/or approve, any application for credit and/or contract for the provision of products and/or services, that are submitted by The Dealer with to accept or approved any subscriber orders or contracts for products and/or services, on VAL Technologies Pvt. Ltd.,  behalf, or otherwise to bind VAL Technologies Pvt. Ltd., to any obligations.

General:

• The Dealer must comply with all local and national laws and regulation and shall not engage in any business practice or activity that could discredit or damage the image or reputation of VAL Technologies Pvt. Ltd., ExamDaddy.com .

• All VAL Technologies Pvt. Ltd., dealers are independent business persons and The Dealer shall not represent or imply that it has any employment relationship with VAL Technologies Pvt. Ltd., ExamDaddy.com  or with any of its affiliated companies. The Dealer may not use the words “employee”, “agent” or “company representative” verbally or any other stationery, business cards or other printed material.

• The dealer should not print his own Brand name on any of the Products supplied by VAL Technologies Pvt. Ltd., ExamDaddy.com . Any breach / violation to this would attract a penalty as well as a legal notice from VAL Technologies Pvt. Ltd., ExamDaddy.com . And such Dealer would be terminated from the responsibility as a Dealer without returning the Deposit amount.

• The Dealer may not knowingly submit false or misleading information to VAL Technologies Pvt. Ltd., ExamDaddy.com  Violation of this rule may lead to rejection of The Dealer’s application or termination of the dealership.

• The Dealer must comply with all VAL Technologies Pvt. Ltd., ExamDaddy.com  rules of conduct and any amendments or additions together with any procedures, recommendations, guidelines or instructions from time to time.

• The Dealer may be approached from time to time by reporters interested in interviewing it about the VAL Technologies Pvt. Ltd., ExamDaddy.com  products, services or business. While VAL Technologies Pvt. Ltd., ExamDaddy.com  appreciates the interest expressed in the products and business opportunity, on the VAL Technologies Pvt. Ltd., ExamDaddy.com  may grant interviews or authorize advertising of the company or product names. Only authorized officials of VAL Technologies Pvt. Ltd., ExamDaddy.com  are permitted to spread with or write to the press or other media for, or on behalf of, VAL Technologies Pvt. Ltd., ExamDaddy.com  or any of its subsidiaries. If The Dealer should be approached with a request for an interview or statement, advise the reporter to contact VAL Technologies Pvt. Ltd., ExamDaddy.com  directly.

• The dealer should not Encourage or entice or incite or persuade or induce any employee of VAL Technologies Pvt. Ltd., ExamDaddy.com  to Terminate his employment with VAL Technologies Pvt. Ltd., ExamDaddy.com .

Products and Services:

• All products and services are solely owned by VAL Technologies Pvt. Ltd., unless otherwise stated.

• At no point will The Dealer should hold the stock of any products and/or services. All products and/or services will be distributed by VAL Technologies Pvt. Ltd.,
